1. Photography Services, Not Image Ownership
Clients are purchasing professional photography services and the creation of image-based deliverables. Payment covers session time, skill, professional processing, and delivery of agreed-upon files -not the ownership or copyright of the images created. All images remain the intellectual property of the photographer unless otherwise licensed in writing.

2. Copyright & Usage
All photographic works are protected by U.S. copyright law and remain the sole property of Studio B Photography & Gallery. Usage rights are granted only through a written End User License Agreement (EULA), tailored to each project. Redistribution, editing, or unauthorized use is prohibited. 3. Bookings & Payment
A session or commercial job is not considered confirmed until full payment or a nonrefundable retainer is received. Payments are processed securely via Square, PayPal, or bank transfer. Payment terms for personal portraits and headshots differ slightly from commercial work and are outlined below.

4. Cancellations & Rescheduling
Clients may reschedule with at least 48 hours’ notice. Retainers may be applied to a new date within 90 days. Cancellations within 48 hours or no-shows may forfeit all amounts paid. Exceptions may be granted for emergencies at the sole discretion of the studio.

5. Delivery & Proofing
Proof galleries are delivered within 7-10 business days unless otherwise arranged. The photographer retains creative discretion over image selection and editing. RAW files are not delivered. Final images are prepared in sRGB and delivered according to the session agreement or licensing terms.

6. Artistic Style & Retouching
Images are edited in the signature style of Studio B. Standard retouching is included. Requests for extensive manipulation or alternate versions may incur additional charges and must be approved in advance.

7. Model Release & Promotional Use
Unless otherwise requested in writing, clients grant permission for images from their session to be used in the studio’s portfolio, website, exhibitions, and marketing materials. A formal model release is available upon request.

8. Limitation of Liability
Studio B Photography is not responsible for circumstances beyond its control, such as weather, illness, equipment failure, or technical malfunctions. Liability is limited to the amount paid for services rendered.

9. Commercial Services & Retainer Policy
For commercial work (including but not limited to product photography, marketing content, or image licensing), a nonrefundable retainer of 50% of the estimated total is required to reserve dates and begin work. This retainer covers the originally agreed-upon scope of services only.

If the scope of work expands - such as adding additional products, requiring alternate file formats or crops, or extending studio time - additional charges will apply. Studio B Photography will notify the client of scope changes and provide updated cost estimates. No additional work will be completed without written or electronic approval.

Clients agree to respond in good faith to scope adjustments. Final payment is due upon completion of the originally agreed-upon deliverables. Additional services performed beyond that scope will be billed separately and are subject to the same payment terms. Nonpayment for additional services may result in delayed delivery, suspension of licensing, or legal collection action.

Clients are encouraged to confirm scope, delivery expectations, and licensing needs in writing prior to booking.

10. Governing Law and Venue
These terms shall be governed by and construed in accordance with the laws of the State of Oregon. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Washington County or Multnomah County, Oregon, at the sole discretion of Grateful B LLC, unless otherwise required by law.
